Terms of Service

Terms governing use of Filecue, provided by Axcel Create.

These Terms of Service ("Terms") set forth the conditions for use of the services provided on this website by Axcel Create ("we," "us," or "our") (the "Service"). Registered users ("Users") shall use the Service in accordance with these Terms.

The Service refers to Filecue, our file collection platform for businesses and their recipients. Plan features, limits, and pricing may change as described on this website and in these Terms.

Article 1 (Application)

  1. These Terms apply to all relationships between Users and us regarding use of the Service.
  2. In addition to these Terms, we may establish rules and other provisions regarding use of the Service ("Individual Provisions"). Regardless of their title, Individual Provisions constitute part of these Terms.
  3. If any provision of these Terms conflicts with an Individual Provision, the Individual Provision shall prevail unless the Individual Provision states otherwise.

Article 2 (Prohibited Conduct)

Users shall not engage in the following acts when using the Service:

  1. Acts that violate laws or public order and morals
  2. Acts related to criminal activity
  3. Acts that infringe copyrights, trademarks, or other intellectual property rights contained in or relating to the Service
  4. Acts that destroy or interfere with the functions of our servers or networks, or those of other Users or third parties
  5. Acts that commercially exploit information obtained through the Service
  6. Acts that may interfere with the operation of our services
  7. Unauthorized access or attempts at unauthorized access
  8. Acts of collecting or storing personal information about other Users
  9. Acts of using the Service for fraudulent purposes
  10. Acts that cause disadvantage, damage, or discomfort to other Users of the Service or third parties
  11. Acts of impersonating other Users
  12. Advertising, solicitation, or business activities on the Service without our permission
  13. Acts aimed at meeting unfamiliar members of the opposite sex
  14. Acts that directly or indirectly provide benefits to antisocial forces in connection with our services
  15. Any other acts we deem inappropriate

Article 3 (Suspension or Interruption of the Service)

  1. We may suspend or interrupt all or part of the Service without prior notice to Users if we determine that any of the following applies:
    • Maintenance, inspection, or updates of computer systems related to the Service
    • Force majeure such as earthquake, lightning, fire, power failure, or natural disaster makes provision of the Service difficult
    • Accident-related stoppage of computers or communication lines
    • Any other case in which we determine provision of the Service to be difficult
  2. We shall not be liable for any disadvantage or damage suffered by Users or third parties due to suspension or interruption of the Service.

Article 4 (Restrictions on Use and Account Termination)

  1. If a User falls under any of the following, we may, without prior notice, restrict all or part of the User's use of the Service or terminate the User's registration:
    • Violation of any provision of these Terms
    • It is discovered that registration information contains false information
    • Failure to respond to our communications for a certain period
    • No use of the Service for a certain period after last use
    • Any other case in which we deem use of the Service inappropriate
  2. We shall not be liable for any damage incurred by Users due to actions taken by us under this Article.

Article 5 (Disclaimer of Warranties and Limitation of Liability)

  1. We do not warrant, either expressly or implicitly, that the Service is free from defects in fact or law (including defects relating to safety, reliability, accuracy, completeness, validity, fitness for a particular purpose, security, errors, bugs, or infringement of rights).
  2. We shall not be liable for any damage incurred by Users arising from the Service. However, if the contract between us and a User regarding the Service (including these Terms) constitutes a consumer contract under the Consumer Contract Act of Japan, this disclaimer shall not apply.
  3. Even in the case described in the proviso of the preceding paragraph, we shall not be liable for damage arising from special circumstances (including cases in which we or the User foresaw or could have foreseen the damage) among damage incurred by Users due to our negligence (excluding gross negligence) or tort. Compensation for damage incurred by Users due to our negligence (excluding gross negligence) or tort shall be limited to the amount of usage fees received from the User in the month in which the damage occurred.
  4. We shall not be responsible for transactions, communications, or disputes between Users and other Users or third parties in connection with the Service.

Article 6 (Changes to Service Content)

We may change, add, or discontinue the content of the Service by posting notice on this website or by other methods we deem appropriate. The revised content takes effect when posted on this website.

Article 7 (Changes to These Terms)

We may change these Terms when we deem it necessary by posting notice on this website or by other methods we deem appropriate. Revised Terms take effect when posted on this website. If a User uses the Service after a change, that User is deemed to have agreed to the revised Terms.

Article 8 (Handling of Personal Information)

We shall handle personal information obtained through use of the Service appropriately in accordance with our Privacy Policy.

Article 9 (Notices and Communications)

Notices and communications between Users and us shall be made by the methods we prescribe. Unless a User submits a change notification in the manner we separately specify, we shall deem the contact information currently registered to be valid, send notices and communications to that contact information, and deem them to have reached the User at the time of transmission.

Article 10 (Prohibition of Assignment of Rights and Obligations)

Users may not assign or offer as security their contractual status or rights or obligations under these Terms to any third party without our prior written consent.

Article 11 (Governing Law and Jurisdiction)

  1. These Terms shall be governed by the laws of Japan.
  2. If a dispute arises regarding the Service, the court with jurisdiction over the location of our principal place of business shall have exclusive agreed jurisdiction.
